Role Overview

Kapoor & Rao Associates is seeking an exceptional Senior Corporate Lawyer to anchor our Cross-Border Transactions and Private Equity practice in Nariman Point, Mumbai.

You will act as the principal advisory lead on major domestic and international mergers, restructuring operations, and regulatory filings with the Competition Commission of India (CCI).

This role provides direct exposure to marquee PE funds, leading technology conglomerates, and multinational joint ventures.

Key Responsibilities

Structure, draft, and negotiate term sheets, Share Purchase Agreements (SPA), and Shareholders' Agreements (SHA).
Lead comprehensive legal due diligence teams across real estate, regulatory approvals, and corporate secretarial compliances.
Advise boards and executive committees on Foreign Direct Investment (FDI) regulations and FEMA filings.
Mentor 4-6 junior associates and oversee closing process checklists.

Credentials & Qualifications

LL.B or LL.M from a recognized National Law University or premier institution.
Active Bar Council of India enrollment with 7-10 years of focused M&A/PE practice.
Demonstrated track record of leading deals valued at ₹100Cr+ from inception to closing.
Impeccable drafting skills and strategic boardroom presence.
